Article 151 of Companies Law No. 22 of 1997
Article text
مع مراعاة التشريعات الخاصة وقواعد الحوكمة الصادرة بموجبها:-
أ- تلتزم الشركات المساهمة العامة بتطبيق تعليمات قواعد الحوكمة الصادرة عن الوزير بناء
على تنسيب المراقب بما في ذلك تمثيل المرأة في مجالس ادارة الشركات وفقاً للنسبة المحددة في
التعليمات .
ب- تنظم الأمور المالية والمحاسبية والإدارية للشركة المساهمة العامة بموجب أنظمة داخلية
خاصة يعدها مجلس إدارة الشركة، ويحدد فيها بصورة مفصلة واجبات المجلس وصلاحياته
ومسؤولياته وعلاقته بالإدارة التنفيذية، ويبين اللجان الواجب تأليفها وبما يتماشى ودليل قواعد
الحوكمة المشار إليه في الفقرة (أ) من هذه المادة .
ج- تحتفظ الشركة بنسخة من الانظمة الداخلية وعلى الشركة تزويد المراقب بها عند طلبه.
