Article 217 of Companies Law No. 22 of 1997
Article text
يجوز للشركة ذات المسؤولية المحدودة والشركة المساهمة الخاصة التحول إلى شركة
مساهمة عامة وفقاً للأحكام المنصوص عليها في هذا القانون، ويقدم طلب التحويل في هذه
الحالة إلى المراقب مرفقاً به ما يلي:-
أ- قرار الهيئة العامة للشركة بالموافقة على التحويل.
ب- أسباب ومبررات التحويل مبنية على دراسة اقتصادية ومالية عن أوضاع الشركة وما سيكون
عليه بعد التحويل.
ج- الميزانية السنوية المدققة للسنتين الماليتين السابقتين على طلب التحويل شريطة ان
تكون الشركة قد حققت ارباحا صافية خلال أي منهما.
د- بيان بأن رأسمال الشركة مدفوع بالكامل.
هـ- بيان من الشركة بالتقديرات الأولية لموجوداتها ومطلوباتها.
