الباب الثامن
الشركة القابضة
أ- الشركة القابضة هي شركة مساهمة عامة تقوم بالسيطرة المالية والادارية على شركة أو
شركات اخرى تدعى الشركات التابعة
بواحدة من الطرق التالية:-
1 - ان تمتلك أكثر من نصف رأسمالها و/أو
2 . - أن يكون لها السيطرة على تأليف مجلس ادارتها
ب- لا يجوز للشركة القابضة تملك حصص في شركات التضامن أو في شركات التوصية
البسيطة.
ج- يحظر على الشركة التابعة تملك أي سهم أو حصة في الشركة القابضة.
د- تقوم الشركة القابضة بتعيين ممثليها في مجالس ادارة الشركة التابعة بنسبة مساهمتها،
ولا يحق لها الاشتراك في انتخاب
بقية اعضاء المجلس أو هيئة المديرين حسب مقتضى الأحوال.
