لا يترتب على تحويل أية شركة إلى أية شركة أخرى لا يترتب عليه نشوء شخص اعتباري جديد بل
تبقى للشركة شخصيتها الاعتبارية
السابقة وتحتفظ الشركة بجميع حقوقها وتكون مسؤولة عن التزاماتها السابقة على التحويل ،
وتبقى مسؤولية الشريك المتضامن
بأمواله الشخصية عن ديون الشركة والتزاماتها السابقة على تاريخ التحويل قائمة.
