- أ- على المجلس تشجيع كافة مساهمي الشركة وتمكينهم من ممارسة حقوق المشاركة في
حضور اجتماعات الهيئة العامة والمناقشة والتصويت على القرارات التي تقع ضمن اختصاصها
وفق أحكام القانون.
ب-على المجلس إرفاق جميع البيانات والوثائق والمعلومات المتعلقة بالبنود المدرجة على
جدول أعمال اجتماع الهيئة العامة الى المساهمين جميعاً دون استثناء.
ج- على المجلس عند تحديد مكان انعقاد اجتماع الهيئة العامة للشركة مراعاة مصلحة الشركة
والمساهمين فيها.
د- على المجلس في حال تضمنت دعوة الهيئة العامة بند انتخاب أعضاء المجلس تحديد عدد
مقاعد الأعضاء المستقلين وآلية وشروط انتخابهم.
