Article text
أ- يجتمع مجلس الإدارة بدعوة من الرئيس مرة في الشهر على الأقل وكلما دعت الحاجة أو بناءً
على طلب خطي يقدمه ثلاثة من أعضائه على الأقل.
ب - يكون اجتماع مجلس الإدارة قانونيا بحضور أربعة من أعضائه على الأقل على أن يكون
الرئيس أو نائبه من بينهم ويتخذ قراراته بأغلبية أصوات أعضائه ، ويتوجب على العضو المخالف
تسجيل مخالفته في محضر الاجتماع مع بيان أسبابها.
ج-يحظر على الرئيس أو عضو مجلس الإدارة الاشتراك في التصويت على أي موضوع يعرض على
مجلس الإدارة يكون له أو للعضو الذي يمثله فيه مصلحة خاصة.
د-على مجلس الإدارة تبليغ الجمعية العمومية بالقرارات الصادرة عنه والمتعلقة بقطاع التأمين
والشركات الأعضاء خلال مدة لا تتجاوز ( 10 ) أيام عمل من تاريخ صدور القرار.
